Welcome to TaraHR. These Terms of Use ("Terms") govern your access to and use of the TaraHR website (tarahr.com), the TaraNurse / SpeakPrac mobile applications, and all associated services (collectively, the "Platform") operated by TaraHR ("we," "us," or "our").

1. Acceptance of Terms

By creating an account, downloading our apps, or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of a healthcare facility or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

TaraHR operates a vertically integrated AI recruitment ecosystem consisting of:

  • The Supply Engine (TaraNurse/SpeakPrac): AI-powered training tools for nurses, including IELTS/NCLEX preparation and clinical communication simulations.
  • The Demand Marketplace: A reverse-recruiting platform where verified healthcare facilities apply to hire pre-vetted nursing talent.

3. For Nurses & Nursing Students ("Candidates")

3.1 Access to Training Tools

We provide AI-powered training tools to Filipino nursing students and registered nurses. These tools are provided free of charge to help you achieve "US-readiness."

3.2 AI Readiness Scores

Our Platform generates proprietary "Readiness Scores" based on your performance in AI simulations. You acknowledge that these scores are for predictive and educational purposes and do not guarantee passing official licensure exams (NCLEX-RN) or language tests (IELTS).

3.3 Reverse-Recruiting Participation

By using the Platform, you may opt-in to have your anonymized readiness data viewed by US healthcare facilities. Facilities may "apply" to you by sending employment offers or interview requests. You maintain the absolute right to accept or reject any offer.

3.4 The "Zero Fee" Policy

TaraHR does not charge nurses any placement fees. We believe in ethical recruitment. You are not required to pay TaraHR for matching you with an employer or for processing your deployment.

4. For Healthcare Facilities ("Clients")

4.1 Subscription & Access

Facilities must maintain an active SaaS subscription to access the Candidate Marketplace, the Compliance Vault, and AI Readiness data.

4.2 Placement Fees

Upon the successful hiring and contract execution of a Candidate discovered through the Platform, the Facility agrees to pay a placement fee, typically calculated as 30% of the Candidate's first-year base salary, unless otherwise specified in a separate Enterprise Agreement.

4.3 Non-Circumvention

Facilities agree not to bypass the Platform to hire Candidates discovered via TaraHR for a period of 24 months following the initial introduction.

5. AI Content & Disclaimers

Our Platform uses advanced AI models (including Whisper, Claude, and GPT-4) to provide feedback.

  • Not Professional Advice: Clinical simulations are for training purposes only and do not constitute medical advice or hospital-specific protocol training.
  • Accuracy: While we strive for high accuracy, AI-generated feedback may occasionally contain errors. TaraHR is not responsible for decisions made based on AI evaluations.

6. International Deployment & Compliance

TaraHR assists in the coordination of DMW (Department of Migrant Workers) compliance and US visa processing (EB-3).

  • Delays: You acknowledge that international deployment is subject to government processing times and "visa retrogression." TaraHR is not liable for delays caused by government agencies.
  • Authenticity: Candidates are responsible for the authenticity of all documents uploaded to the Compliance Vault.

7. User Conduct

You agree not to:

  • Provide false or misleading information regarding your credentials or experience.
  • Attempt to reverse-engineer our AI speech evaluation pipeline or proprietary scoring algorithms.
  • Use the Platform for any purpose other than professional education or healthcare recruitment.

8. Intellectual Property

The Platform’s software, design, AI orchestration logic, and "Readiness Score" methodology are the exclusive property of TaraHR. We grant you a limited, non-transferable license to use the Platform for its intended professional purposes.

9. Limitation of Liability

To the maximum extent permitted by law, TaraHR shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform, including but not limited to failure to pass licensing exams or changes in US immigration policy.

10. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
